Acquisition of Iomai Corporation

On May 12, 2008, Iomai and Intercell entered into an Agreement and Plan of Merger whereby Iomai agreed to be acquired by Intercell AG. Iomai shareholders voted in favor of the acquisition on August 1, 2008. The acquisition was completed on August, 5, 2008 for a total consideration of 1,4442,819 Intercell shares and a cash component of EUR 75 million (USD 116 million), which was financed from existing cash reserves of Intercell. 

Through the acquisition Intercell expanded the company’s late stage product pipeline, e.g. with a Travelers’ Diarrhea vaccine patch and a Pandemic Influenza vaccine patch. Thereby Intercell strengthened its leadership in vaccine innovation.
